These Terms of Sale (the “Terms”) govern access to and use of prismbioresearch.com, customer accounts, communications, products, and related services provided by Full Send Services Inc., doing business as Prism Bio-Research (“Prism Bio-Research,” “we,” “our,” or “us”). By using the website, creating an account, completing the customer attestation, or submitting an order, you agree to these Terms. If you do not agree, do not use the website or place an order.

Eligibility and Customer Attestation
You must be at least 18 years old, legally capable of entering a binding agreement, and acquiring products solely for lawful laboratory research. Customer attestation is required. By completing it, you represent that the information supplied is accurate, you understand the nature of the research materials, and you will comply with all requirements applicable to your purchase, receipt, possession, storage, handling, use, transportation, export, and disposal.
We may request additional information, restrict product access, limit quantities, cancel an order, suspend an account, or refuse service when information is incomplete, inaccurate, unverifiable, inconsistent with these Terms, or presents legal, regulatory, payment, fraud, reputational, or operational risk.
Research Use Only
Products are supplied solely for controlled in vitro laboratory research. They are not consumer products and are not offered for human or veterinary use, food use, drug use, cosmetic use, clinical use, diagnosis, treatment, cure, mitigation, or prevention of any disease or condition. Products have not been evaluated by the U.S. Food and Drug Administration for safety or efficacy. Prism Bio-Research does not provide preparation, dosing, administration, medical, veterinary, or treatment guidance.
You are responsible for determining whether a product and its intended research application are lawful and appropriate in your jurisdiction and facility. A purchase does not transfer responsibility for regulatory approvals, permits, qualifications, or institutional review requirements.
Product Information and Analytical Documentation
Product descriptions, specifications, analytical data, Certificates of Analysis, study links, and other technical information are supplied for laboratory-reference purposes. A Certificate of Analysis describes the identified lot and reported testing at the time and under the conditions stated. Analytical methods have limitations, and results do not guarantee performance or outcomes in a particular research system.
Scientific references discuss independent research and do not evaluate a Prism Bio-Research lot unless expressly stated. A reference is not an endorsement, instruction, or representation of suitability, safety, efficacy, or regulatory status. You are responsible for reviewing available documentation and conducting appropriate due diligence before use.
Accounts and Website Use
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. Notify us promptly of suspected unauthorized access. You may not use the website to violate law, misrepresent identity or qualifications, interfere with security or operation, introduce malicious code, scrape or copy content by automated means without permission, or attempt to gain unauthorized access to any account or system.
Orders, Pricing, and Availability
All orders are subject to acceptance. An order confirmation acknowledges receipt and does not guarantee acceptance or shipment. Prices, availability, specifications, and quantities may change before acceptance. We may refuse, limit, or cancel an order because of inventory, pricing or description errors, payment review, suspected fraud, customer-attestation concerns, shipping restrictions, or other lawful business reasons.
If we cancel an order after collecting payment and before shipment, we will issue an appropriate refund to the original payment method, where available. We may correct typographical, pricing, or product-information errors at any time.
Payment Authorization and Billing
You agree to provide current, complete, and accurate billing information and represent that you are authorized to use the payment method submitted. By placing an order, you authorize the applicable payment processor to charge the total displayed at checkout, including shipping and taxes.
Payments may be processed by independent payment providers. We do not store complete payment-card numbers on our website. Payment providers process payment information under their own terms and privacy notices. Billing and shipping details may be reviewed for fraud prevention, compliance, and order verification. Contact us promptly about an unrecognized, duplicate, or incorrect charge so we can investigate.
Shipping, Delivery, and Risk of Loss
We ship only to destinations we elect to serve and where shipment is permitted. Delivery dates are estimates, not guarantees. You are responsible for providing a complete and accurate address and, for international orders, for importer-of-record obligations, duties, taxes, permits, and destination requirements.
To the extent permitted by law, title and risk of loss pass when the order is tendered to the carrier. We are not responsible for delays, failed delivery attempts, incorrect addresses supplied by the customer, customs action, weather, carrier interruption, or other circumstances beyond our reasonable control. Returns and Refunds
A return must be requested within 14 calendar days after delivery. Returned products must be unused and unopened, in their original packaging, with the product-level tamper-evident seal intact. We cannot accept a return after the product or its packaging has been opened or the tamper-evident seal has been broken.
Return authorization is required before shipment. Unless the return results from our error or an item arrived damaged, you are responsible for tracked return shipping. Approved refunds are issued to the original payment method following receipt and inspection. Original and expedited shipping charges are nonrefundable unless the order was incorrect or damaged. Damaged, Incorrect, or Missing Orders
Damage, an incorrect item, or a missing item must be reported within 48 hours after delivery. Include the order number and clear photographs of the shipment, shipping label, packaging, seals, and affected product. After review, we may provide a replacement, refund, or return label as appropriate.
Storage, Handling, Transportation, and Disposal
Research materials may require specialized knowledge, facilities, controls, and precautions. You are solely responsible for proper receipt, identification, storage, access control, handling, use, transportation, recordkeeping, and disposal in accordance with the product documentation, your institutional procedures, and applicable law. We are not responsible for loss, contamination, degradation, injury, or damage resulting from improper or unauthorized handling, storage, use, transport, or disposal.
Prohibited Conduct
You must not:
- provide false or misleading identity, qualification, billing, shipping, or intended-use information;
- acquire, use, transfer, export, repackage, relabel, resell, or distribute a product for an unlawful, undisclosed, or prohibited purpose;
- make a medical, therapeutic, diagnostic, or performance claim about a product on our behalf;
- circumvent account, attestation, quantity, territory, payment, or access controls;
- infringe our intellectual property or interfere with the website, accounts, security, or services; or
- violate any applicable law, regulation, permit, institutional rule, or third-party right.
Disclaimer of Warranties

DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the website will be uninterrupted, secure, or error-free, or that a product is suitable for a particular research protocol or will produce a particular result. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM BIO-RESEARCH, FULL SEND SERVICES INC., AND THEIR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PROPERTY, ARISING FROM OR RELATED TO THE WEBSITE, AN ORDER, A PRODUCT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by law, our total aggregate liability arising from or related to a product, order, website, service, or these Terms will not exceed the amount actually paid to us for the specific product or order giving rise to the claim. Nothing in these Terms excludes liability or a consumer right that cannot lawfully be excluded or limited.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Prism Bio-Research, Full Send Services Inc., and their owners, officers, directors, employees, contractors, affiliates, agents, successors, and assigns from claims, liabilities, damages, judgments, penalties, losses, costs, and reasonable attorneys’ fees arising from your breach of these Terms; violation of law or third-party rights; negligence or misconduct; or purchase, possession, storage, handling, use, misuse, transfer, transport, export, or disposal of a product.
Intellectual Property
The website and its text, graphics, logos, product presentation, photographs, designs, software, and other content are owned by or licensed to Prism Bio-Research and are protected by applicable intellectual-property laws. Except as permitted by law, you may not reproduce, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit website content without our prior written permission. Product names belonging to third parties remain the property of their respective owners.

Force Majeure

Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute not subject to a mandatory forum under applicable law must be brought in a state or federal court located in Orange County, Florida, and each party consents to that court’s jurisdiction and venue.
Severability; No Waiver; Assignment
If a provision of these Terms is held invalid or unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions will continue in effect. A failure or delay in enforcing a right is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Changes and Entire Agreement
We may update these Terms by posting a revised version and effective date. The Terms in effect when an order is submitted govern that order unless law requires otherwise. These Terms, together with the Customer Attestation, Shipping & Returns Policy, Privacy Policy, and Disclaimer, form the entire agreement concerning the website, accounts, orders, and products and supersede prior communications on those subjects.
